Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Centerpiece Lab, Inc. ("Company," "we," "us," or "our") governing your access to and use of the Centerpiece platform, including all storefronts hosted thereon (collectively, the "Platform").

By creating an account, browsing, or making a purchase through any storefront on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must stop using the Platform immediately.

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.

The following defined terms are used throughout these Terms:

• "Company," "we," "us," "our" — Centerpiece Lab, Inc., a Delaware corporation. The Company is the merchant of record and the contracting party for all transactions conducted through the Platform.
• "Platform" — The Centerpiece commerce platform, including all storefronts, websites, applications, APIs, and related services operated by the Company.
• "Storefront" — An individually branded online store hosted on the Platform. Each Storefront is operated by a Partner on behalf of the Company.
• "Partner" or "Store Operator" — An independent contractor who operates a Storefront, promotes products, and may receive compensation based on sales performance. Partners do not sell products to Customers and are not parties to the transaction between you and the Company.
• "Customer," "you," "your" — Any individual who browses, registers on, or purchases through the Platform.
• "Order" — A purchase transaction between a Customer and the Company through any Storefront on the Platform.
• "Fulfillment Partner" — A third-party logistics provider that ships goods on behalf of the Company.
• "Content" — Text, images, reviews, comments, and other materials submitted by Customers to the Platform.

The Centerpiece Platform is a commerce platform operated by Centerpiece Lab, Inc. The Platform hosts multiple individually branded Storefronts, each operated by an independent Partner.

Merchant of Record

Centerpiece Lab, Inc. is the merchant of record for all purchases made through any Storefront on the Platform. This means:

• All purchases are transactions between you (the Customer) and Centerpiece Lab, Inc.
• The Company is responsible for order fulfillment, either directly or through its Fulfillment Partners.
• The Company handles all customer support, refunds, returns, and dispute resolution.
• Payment is made to and processed by Centerpiece Lab, Inc.

Role of Store Operators

Partners operate Storefronts on the Platform and promote products on behalf of the Company. Partners:

• Are independent contractors, not employees or agents of the Company.
• May receive compensation based on sales performance.
• Do not sell products to Customers and are not parties to any transaction.
• Do not determine pricing, return policies, or other transaction terms.
• Do not handle refunds, returns, or customer disputes.

If you have any issue with a purchase, including questions about products, returns, refunds, or delivery, contact Centerpiece Lab directly. Do not contact the Store Operator — all customer-facing support is provided by the Company.

Account Creation

To make purchases on the Platform, you may be required to create a user account. When creating an account, you agree to:

• Provide accurate, complete, and current information.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and not share them with any third party.
• Notify us immediately at legal@centerpiecelab.com if you suspect unauthorized access to your account.

Account Responsibility

You are solely responsible for all activity that occurs under your account, whether or not authorized by you. We are not liable for any loss or damage arising from unauthorized use of your account.

Account Suspension and Termination

We reserve the right to suspend, disable, or terminate your account at any time if we reasonably believe that:

• You have violated these Terms or any applicable law.
• Your account has been used for fraudulent, abusive, or unlawful activity.
• Continued access poses a risk to the Platform, other users, or the Company.

We will make reasonable efforts to notify you before or promptly after taking such action, unless notification is prohibited by law or would compromise platform security.

You may close your account at any time by contacting us at legal@centerpiecelab.com or through your account settings.

Placing Orders

When you place an Order through any Storefront on the Platform, you are entering into a purchase agreement with Centerpiece Lab, Inc. Your Order constitutes an offer to purchase the selected products at the listed price, subject to these Terms.

Order Acceptance

An Order is not considered accepted until we send you an order confirmation. We reserve the right to decline or cancel any Order for any reason, including but not limited to:

• Product unavailability or pricing errors.
• Suspected fraudulent or unauthorized activity.
• Inability to verify your identity or payment information.
• Violation of these Terms or any purchase limitations.

If we cancel an Order after your payment has been processed, we will issue a full refund promptly.

Pricing and Availability

All prices are displayed in the applicable currency and include or exclude taxes as indicated at checkout. Prices are subject to change without notice, but changes will not affect Orders that have already been confirmed. We make reasonable efforts to ensure pricing accuracy, but errors may occur. If we discover a pricing error after order confirmation, we will notify you and give you the option to proceed at the correct price or cancel the Order for a full refund.

Fulfillment

The Company fulfills Orders directly or through its Fulfillment Partners. Estimated delivery times are provided for informational purposes and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, weather, or other circumstances beyond our control.

Payment Processing

All payments are processed by Centerpiece Lab, Inc. through our authorized third-party payment processors. By submitting payment information, you represent that you are authorized to use the payment method provided. We accept the payment methods displayed at checkout.

Taxes

Applicable sales taxes, value-added taxes (VAT), or other similar charges will be calculated and displayed at checkout based on your shipping address and applicable law. You are responsible for any taxes or duties imposed by your jurisdiction.

Refunds and Returns

• All refund and return requests must be submitted to Centerpiece Lab, Inc. directly.
• Refund eligibility, timelines, and conditions are set by the Company and outlined in our return policy, displayed at checkout or on the relevant Storefront.
• Store Operators do not process refunds or handle return requests — all such matters are managed exclusively by the Company.

Chargebacks

If you initiate a chargeback or payment dispute with your financial institution, the Company reserves the right to suspend your account pending investigation. We encourage you to contact us at legal@centerpiecelab.com before initiating a chargeback so we can attempt to resolve the issue directly.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the Platform's infrastructure, security features, or other users' access.
• Attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems connected to the Platform.
• Use automated tools (bots, scrapers, crawlers) to access the Platform without our express written consent.
• Transmit viruses, malware, or other harmful code.
• Harass, threaten, or abuse other users or Company personnel.
• Circumvent, disable, or interfere with security-related features, including payment or authentication systems.
• Use the Platform to collect, harvest, or store personal information of other users without their consent.
• Engage in any activity that imposes an unreasonable or disproportionate load on the Platform's infrastructure.

We reserve the right to investigate and take appropriate action against any violations of this section, including account suspension or termination and referral to law enforcement.

Company Intellectual Property

The Platform, including its design, layout, graphics, software, code, data compilations, and all content created by or on behalf of the Company, is owned by Centerpiece Lab, Inc. or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws.

The Centerpiece name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Centerpiece Lab, Inc. You may not use these marks without our prior written permission.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. This license does not include the right to:

• Modify, copy, distribute, or create derivative works based on Platform content.
• Use data mining, robots, or similar data gathering tools on the Platform.
• Download or copy account information for the benefit of another party.
• Resell or commercially exploit any Platform content without our written consent.

Ownership

You retain ownership of any Content you submit to the Platform, including product reviews, comments, and other materials.

License Grant

By submitting Content, you grant Centerpiece Lab, Inc. a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, display, and distribute your Content in connection with operating and promoting the Platform.

Content Standards

You represent and warrant that any Content you submit:

• Is accurate and not misleading.
• Does not infringe any third party's intellectual property, privacy, or other rights.
• Does not contain unlawful, defamatory, obscene, threatening, or otherwise objectionable material.
• Complies with all applicable laws and regulations.

Content Removal

We reserve the right to remove any Content that violates these Terms or that we reasonably consider harmful, offensive, or inappropriate, without prior notice. We are not obligated to monitor or review user Content but may do so at our discretion.

The Platform may contain links to third-party websites, services, or content that are not owned or controlled by Centerpiece Lab, Inc. We do not endorse and are not responsible for:

• The content, accuracy, or opinions expressed on third-party sites.
• The privacy practices or terms of service of third-party sites.
• The availability or functionality of third-party services.

Your interactions with third-party websites are governed by those sites' own terms and policies. We encourage you to read the terms and privacy policies of any third-party site you visit.

THE PLATFORM AND ALL CONTENT, PRODUCTS, AND SERVICES AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CENTERPIECE LAB, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will be available at all times or operate without interruption or errors.
• Defects will be corrected in a timely manner.
• The Platform or its servers are free of viruses or other harmful components.
• The results obtained from using the Platform will be accurate or reliable.
• Any product descriptions, pricing, or other content on the Platform are accurate, complete, reliable, or error-free.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CENTERPIECE LAB, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities.
• Personal injury or property damage.
• Unauthorized access to or alteration of your data.
• Any conduct or content of any third party on the Platform.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO CENTERPIECE LAB, INC. IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Centerpiece Lab, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of or access to the Platform.
• Your violation of these Terms or any applicable law or regulation.
• Your Content or any material you submit, post, or transmit through the Platform.
• Your infringement of any third party's rights, including intellectual property rights.
• Any dispute between you and any other user of the Platform.

This indemnification obligation will survive termination of your account and these Terms.

Governing Law

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@centerpiecelab.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If we cannot resolve the dispute informally, you and the Company agree that any remaining dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

• Arbitration will take place in Wilmington, Delaware, or at another mutually agreed location.
• The arbitrator's decision shall be final and binding.
• Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Exceptions to Arbitration

The following are excluded from the arbitration requirement:

• Small Claims Court: Either party may bring a qualifying claim in small claims court in the appropriate jurisdiction.
• Injunctive Relief: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
• Statutory Claims: To the extent applicable law prohibits mandatory arbitration for certain types of claims, those claims may be brought in court.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

All Disputes Directed to Centerpiece Lab

All disputes regarding purchases, products, orders, refunds, returns, or any aspect of the Platform must be directed to Centerpiece Lab, Inc. Store Operators do not handle customer disputes, and you agree not to pursue claims directly against Store Operators for matters arising out of the use of the Platform.

European Union Consumer Rights

If you are a consumer in the European Union or European Economic Area:

• Right of Withdrawal: You have the right to withdraw from a purchase within 14 days of receiving the goods, without giving any reason. To exercise this right, you must inform us at legal@centerpiecelab.com of your decision to withdraw by a clear statement. We will reimburse all payments received from you, including standard delivery costs, within 14 days of receiving the returned goods.
• Consumer Guarantees: Products sold through the Platform are subject to the legal guarantee of conformity under EU consumer protection law. If a product does not conform to the contract, you are entitled to have the product brought into conformity, receive a price reduction, or terminate the contract, in accordance with applicable EU law.
• No Waiver of Statutory Rights: Nothing in these Terms is intended to limit or exclude your statutory consumer rights under EU law. Where these Terms conflict with mandatory consumer protection provisions, the consumer protection provisions shall prevail.

California Consumer Rights

If you are a California resident:

• You have the right to request information about our disclosure of personal information to third parties for direct marketing purposes (California Civil Code §1798.83). See our Privacy Policy for details.
• You may have additional rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA). See our Privacy Policy for details.
• California residents may also have rights under the Song-Beverly Consumer Warranty Act and the Consumers Legal Remedies Act with respect to products purchased through the Platform.

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Post the updated Terms on the Platform with a new "Effective Date."
• Notify you by email (if you have an account) or by displaying a prominent notice on the Platform at least 30 days before the changes take effect.

Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of the changes.

If you do not agree with the revised Terms, you must stop using the Platform and close your account. Account closure does not affect any rights or obligations arising from Orders placed before the effective date of the revised Terms.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Centerpiece Lab, Inc. regarding your use of the Platform, superseding all prior agreements, understandings, negotiations, and discussions, whether written or oral.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. A waiver of any provision is only effective if made in writing and signed by an authorized representative of the Company.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time without notice to you.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, wars, terrorism, epidemics, government actions, labor disputes, power failures, internet or telecommunications failures, or disruptions to shipping or logistics.

Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
